ARTICLE IX
BOARD OF DIRECTORS.
1. Purpose: The properity and business of the corporation shall be managed and controlled by its Board of Directors, except as may be otherwise provided in these Bylaws or the Articles of Incorporation.
2. Composition: The Board of Directors shall consist of seven menbers at the minimum and nine at the maximum.
3. Election and Term: The members of the Board of Directors shall be elected by members at the Annual Membership Meeting. Execpt for the election to be held on January 29, 2000, said Director shall serve a term of three years and may serve unlimited successive years. For the purpose of the election to be held on January 29, 2000, three directors shall be elected to sevre a one year term, and three directors shall be elected to serve a three year term. when the one year term concludes in 2001, and the two year term concludesin 2002, the directors filling those positions shall serve for three year terms. The term office shall begin with the first meeting of the fiscal year.
4. Vacancies: Should vacancies occur on the Board of Directors by reason of death, resignation, or otherwise, such vacancies shall be filled by appointment for the remainder of the unexpired term. Said appointment shall be made by the President and confirmed by the Board of Directors.
