ARTICLE VI

ANNUAL MEMBERSHIP MEETINGS. A meeting of the membership for the puroses of electing directors shall be held annually. The date, time, and place of said meeting shall be designated by the Board of Directors. Said Board or Directors may then transact such other business as may come before the meeting. This meeting shall be known and referred to as the "Annual Membership Meeting."

Special meetings of the membership may be called at any time by the President or secretary upon the request in writing or by a vote of the majority of the Directors.

All meetings of the membership shall be held at such a place, within 20 miles of Lake Mattoon, as the Board of Directors shall decide. Public notice of said meeting to be given one week prior to the meeting date. The secretary shall send notices to each member at least 30 days prior to scheduling meeting

ARTICLE VII

QUORUM. In order to act on official business at the Annual Membership Meeting, the membership present at said meeting shall constitute a quorum. At all Board of Directors and Committee meetings, one half of the current membership of the convening body must be present in person to constitute of quorum for the transaction of business.

ARTICLE VIII

VOTING PROCEDURES. Each member present in person at the Annual Membership Meeting who has participated in at least one meeting or function of this corporation in the preceding 12 months shall be entitled to one vote for the purpose pf electing members of the Board of Directors. For the purposes of the Annual Meeting only a member who has participated in at least one meeting or function of this corporation the preceding 12 months shall be entitled to vote by written proxy. At all meetings, the elections shall be by ballot in contested elections and may be choice or other means in uncontested
